These Terms explain how you can use Constellation and what you can expect from us. They cover things like account use, subscriptions, your content, security, and how optional features work. Please read them carefully — by using the Service, you agree to follow these Terms.

These Terms of Service (“Terms”) govern your use of the Constellation service provided by Constellation Digital LLC (“Constellation,” “we,” “us,” or “our”).

Service means our website, web app, iOS app, APIs, and any related features, content, or services we provide now or in the future.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

The Service is intended only for individuals who are 18 years of age or older. By using the Service, you represent that you are at least 18.

You are responsible for ensuring that your use of the Service complies with all laws that apply to you.

2. Accounts

To use the Service, you must create an account and keep your account information accurate and current.

You are responsible for:

  • maintaining the confidentiality of your login credentials
  • all activity that occurs under your account
  • promptly notifying us if you believe your account has been compromised

Sign-up and sign-in

  • New account creation must be completed on the web.
  • The iOS app may allow you to sign in using Apple, Google, or Microsoft.
  • Sign-in providers may change from time to time.

You agree not to share your account with others unless the Service specifically allows it.

3. The Service

Constellation provides tools for organizing personal and estate-related information, documents, trusted contacts, emergency access workflows, evidence-grade recordkeeping, discovery features, and related functionality.

Some features may be:

  • optional
  • limited to certain subscription tiers
  • available only on the web
  • available only on the iOS app
  • in progress or released gradually

We may update, improve, add, remove, or change features at any time.

Mobile app

Our iOS app is part of the Service and connects to the same backend systems as our website and web app. You may upload documents or other content from your device through the app. Some actions, including account creation and subscription setup, may still need to be completed through the web.

Optional features

The Service may include optional features such as:

  • trusted contact and emergency access workflows
  • email discovery or account discovery automation
  • AI-assisted features
  • third-party integrations

If you enable an optional feature, you authorize us to process the data needed to provide that feature.

4. Subscriptions, billing, and renewal

We offer subscription-based access to the Service. We currently have three plans total, but only Essential and Complete are active at this time.

Subscriptions may be offered on a:

  • monthly basis
  • annual basis

Auto-renewal

Subscriptions automatically renew unless canceled before the end of the current billing period.

By starting a subscription, you authorize us and our payment processor to charge the applicable recurring fees, taxes, and any other charges disclosed to you at checkout.

Billing provider

We may use third-party payment processors to handle billing and subscription transactions.

Plan changes

We may change plan names, features, or pricing from time to time. If required by law, we will provide notice of material billing changes.

Taxes

You are responsible for any taxes associated with your purchase, except for taxes based on our income.

5. Cancellation and refunds

You may cancel your subscription according to the cancellation method made available in the Service or by contacting support if applicable.

Cancellation typically stops future renewal charges, but it may not entitle you to a refund for the current billing period unless required by law or otherwise stated at the time of purchase.

Refunds

Refunds are case-by-case and may depend on the circumstances. We are not required to issue refunds except where required by law or where we choose to do so in our discretion.

6. User content

You may upload, submit, store, or otherwise provide content to the Service, including documents, images, notes, contact information, preferences, and other materials (“User Content”).

You retain ownership of your User Content, subject to the rights you grant us in these Terms.

License you give us

You grant Constellation a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and otherwise use your User Content only as needed to provide, maintain, improve, and secure the Service, comply with law, and enforce these Terms.

Your responsibility

You are responsible for:

  • the accuracy of User Content
  • having the right to upload or share it
  • making sure it does not violate any law or third-party rights

You should not upload content you do not have the right to provide.

7. Trusted contacts and emergency access

The Service may allow you to designate trusted contacts, executors, advisors, or other authorized persons and may support emergency access or similar workflows.

If you use those features, you are responsible for:

  • selecting appropriate contacts
  • ensuring the information you provide is accurate
  • obtaining any consents required by law
  • understanding that access may depend on feature settings, timing, and our procedures

We do not guarantee that a trusted contact or emergency access request will result in immediate or complete access unless and until the applicable workflow is successfully completed.

8. Digital assets and recordkeeping

The Service currently supports evidence-grade recordkeeping and organization of information, documents, and instructions related to digital assets and online accounts. We do not currently offer full digital asset designation functionality under RUFADAA or similar laws.

We may offer digital asset designation features in the future, subject to product implementation, applicable law, and any required disclosures or user confirmations.

9. Optional automations, discovery, and integrations

The Service may offer optional automations, discovery tools, and third-party integrations, including social sign-in, email discovery, and other account or document-related workflows.

If you choose to connect third-party services or enable optional automations:

  • you authorize us to access and process the related data as needed to provide the feature
  • those third parties may have their own terms and privacy practices
  • we are not responsible for third-party services we do not control

Some integrations may be available only in certain products, on certain devices, or after you complete setup on the web.

10. Acceptable use

You agree not to:

  • use the Service unlawfully
  • interfere with or disrupt the Service
  • attempt to gain unauthorized access to systems or accounts
  • upload malware or harmful code
  • scrape, reverse engineer, or abuse the Service except where allowed by law
  • misrepresent your identity or authority
  • use the Service to infringe privacy, intellectual property, or other rights
  • use the Service in a way that creates security, legal, or operational risk for Constellation or others

We may investigate suspected misuse and take appropriate action.

11. Third-party services

The Service may depend on or interact with third-party services, including providers used for:

  • authentication
  • billing
  • hosting
  • email
  • messaging
  • analytics
  • monitoring
  • AI features
  • optional integrations

Third-party services are governed by their own terms and policies. We are not responsible for third-party services, their availability, or their conduct.

12. Privacy

Our collection, use, disclosure, and retention of personal information are described in our Privacy Policy.

By using the Service, you acknowledge that:

  • we process data to operate the Service
  • some features depend on third parties
  • the Service is not zero-knowledge
  • authorized personnel may be able to access certain data for support, operations, legal compliance, or security purposes

13. Scope of the Service

The Service is intended as a personal recordkeeping, organization, and workflow platform. It is not intended to provide legal, financial, insurance, healthcare, tax, or investment advice, and it is not intended to operate as a regulated financial, insurance, healthcare, or public-company reporting service unless we expressly state otherwise.

If you use the Service for estate planning, digital asset organization, trusted contact workflows, or similar purposes, you remain responsible for complying with any laws that apply to your situation and for obtaining independent professional advice where appropriate.

14. Security

We use security measures designed to protect the Service and User Content, but no system is perfectly secure.

You agree not to:

  • probe, scan, or test the vulnerability of the Service without permission
  • bypass security or access controls
  • interfere with encryption, logging, or monitoring systems

If you believe you have found a security issue, contact us through the security contact listed on our website.

15. Intellectual property

The Service, including software, design, text, graphics, logos, and other content provided by us, is owned by Constellation or its licensors and is protected by applicable intellectual property laws.

Except for the limited right to use the Service under these Terms, we do not grant you any ownership rights in the Service.

16. Feedback

If you provide suggestions, ideas, or feedback, you grant us the right to use them without restriction or compensation.

17. Suspension and termination

We may suspend or terminate your access to the Service at any time if:

  • you violate these Terms
  • we reasonably believe your use creates risk, legal exposure, or security concerns
  • we are required to do so by law
  • we discontinue the Service or a feature

You may stop using the Service at any time and may request account deletion subject to our Privacy Policy and retention obligations.

18. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.”

We do not guarantee that the Service will:

  • be uninterrupted
  • be error-free
  • meet every user’s expectations
  • preserve all data indefinitely
  • achieve any specific legal, financial, or technical outcome

Any guidance, workflow, or automation provided through the Service is for informational and organizational purposes only and is not a substitute for professional advice unless we expressly say otherwise in writing.

19. Limitation of liability

To the fullest extent permitted by law, Constellation and its affiliates, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, goodwill, or use arising out of or related to your use of the Service.

To the fullest extent permitted by law, our total liability for any claim related to the Service will not exceed the greater of:

  • the amount you paid us in the 12 months before the event giving rise to the claim, or
  • $100

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless Constellation from and against claims, damages, losses, liabilities, costs, and expenses arising out of or related to:

  • your use of the Service
  • your User Content
  • your violation of these Terms
  • your violation of law or third-party rights
  • your misuse of the Service

21. Governing law and venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules.

Except where prohibited by law, the exclusive venue for disputes arising out of or relating to these Terms or the Service will be the state or federal courts located in New Jersey.

22. No arbitration

We do not currently require binding arbitration or a class action waiver in these Terms.

23. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and may provide additional notice where required by law.

Your continued use of the Service after the updated Terms take effect means you accept the changes.

The Service is intended for adults age 18 and older and is currently intended for users in the United States.

Depending on how you use the Service, you may provide:

  • login and account details
  • subscription and billing information
  • trusted contact and emergency access information
  • estate planning, inventory, and related personal information
  • documents, images, files, and other content you upload from your device or computer
  • notes, preferences, and instructions
  • support messages and other communications
  • information you enter into optional features, including discovery and AI-assisted features

Information collected automatically

When you use the Service, we may automatically collect:

  • device and browser information
  • IP address
  • log data
  • usage data
  • page views, clicks, and feature interactions
  • session and authentication metadata
  • cookie and similar technology data
  • app and device information, such as app version, operating system version, crash data, and diagnostic data

Information from third parties

We may receive information from:

  • authentication providers
  • payment providers
  • cloud and infrastructure providers
  • analytics and monitoring providers
  • optional integrations you connect
  • external services you choose to use with the Service

2. How we use information

We use personal information to:

  • provide, maintain, and improve the Service
  • create and manage accounts
  • authenticate users and support sign-in
  • process subscriptions, billing, and taxes
  • provide trusted contact and emergency access workflows
  • support optional discovery, automation, and AI-assisted features
  • send service-related notices, alerts, and notifications
  • provide customer support
  • monitor, secure, debug, and operate the Service
  • detect fraud, abuse, and unauthorized activity
  • comply with law and legal process
  • enforce our Terms and policies
  • analyze usage and improve product performance

We do not sell personal information. We also do not share personal information for cross-context behavioral advertising.

3. How we share information

We share personal information only as needed to operate the Service, support requested features, complete transactions, comply with law, or protect rights and safety.

Service providers and subprocessors

We use third-party service providers and subprocessors to help us operate the Service. These providers may process personal information on our behalf for purposes such as:

  • authentication
  • hosting and infrastructure
  • storage and backups
  • email and SMS delivery
  • analytics
  • error monitoring
  • AI features
  • payment processing
  • optional integrations
  • document processing

Optional user-initiated services

If you choose to connect a third-party service, such as a social sign-in provider or email account, that provider may receive or process information according to its own terms and privacy practices.

Legal and safety disclosures

We may disclose information if we believe disclosure is required by law, court order, subpoena, legal process, or to protect the rights, property, security, or safety of Constellation, our users, or others.

Business transfers

We may disclose information in connection with a merger, acquisition, financing, sale of assets, bankruptcy, or similar business transaction.

4. Third-party providers and integrations

Depending on how you use the Service, we may use some or all of the following providers:

Authentication and identity

  • Clerk — authentication, account management, MFA, and session management
  • Apple Sign In — iOS sign-in support
  • Google Sign In — iOS sign-in support
  • Microsoft Sign In — iOS sign-in support

Payments and billing

  • Stripe — subscription billing, payment processing, billing portal, and webhooks

Hosting, storage, and infrastructure

  • Amazon Web Services (AWS) — hosting, storage, secrets management, CDN, scheduling, and backups
  • AWS ElastiCache — caching, application state support, and operational coordination
  • Amazon RDS — database hosting
  • ECS / EventBridge — application hosting and background processing infrastructure
  • AWS CloudFront — edge delivery and caching, if used

Email and messaging

  • Amazon SES — transactional email delivery
  • Amazon Pinpoint SMS/Voice — SMS-based MFA and service notifications

Analytics and error monitoring

  • Sentry — application error monitoring
  • PostHog — analytics, feature usage measurement, and session recording where enabled

AI / ML features

  • OpenAI — AI-assisted features
  • Anthropic — AI-assisted features, if enabled

Financial-account and identity-discovery integrations

  • Plaid — optional bank account linking
  • Have I Been Pwned (HIBP) — breach lookup for identity-protection scans
  • Enzoic — email/password breach lookup

Email discovery and external service workflows

  • Gmail / Google OAuth — optional email discovery workflows
  • Microsoft 365 / Microsoft OAuth — optional email discovery workflows
  • Apple Mail / IMAP — optional email discovery workflows

Document processing and other services

  • AWS Textract — OCR on uploaded documents
  • Brandfetch — logo lookup, if used

We may add, remove, or substitute providers over time. For a current internal list of active vendors and subprocessors, see our internal vendor register and any applicable DPA subprocessor schedule.

Some third parties may act as independent controllers for certain information they receive, including payment networks, authentication providers, and other external services.

5. Cookies and similar technologies

We use cookies and similar technologies for:

  • authentication and session management
  • site functionality
  • security and abuse prevention
  • preferences
  • analytics and performance measurement

Some cookies are strictly necessary for the Service to function. Others may be used for analytics or feature support.

We do not use advertising cookies or retargeting tools.

Browser and device controls

You may be able to control cookies through your browser settings and, where available, through preferences we provide in the Service.

Mobile app note

The iOS app may use similar technologies, SDKs, or device-level identifiers for functionality, analytics, security, or sign-in support. Cookie controls mainly apply to the website and web views.

6. Social sign-in and account creation

You may be able to sign in to the iOS app using Apple, Google, or Microsoft. These providers may receive information related to the sign-in process and may process data under their own terms and privacy policies.

New account creation and subscription setup must be completed on the web.

7. Push notifications

We may send push notifications through the iOS app for account, service, or security-related purposes where enabled. You can control push notification permissions through your device settings.

8. Data retention

We keep personal information only as long as needed for the purposes described in this Policy, unless a longer retention period is required or permitted by law.

Our general retention schedule is:

  • Account data: retained while the account is active and generally removed within 30 days after account deletion
  • Soft-deleted documents: retained for 30 days, then purged
  • Backups: retained up to 35 days
  • Audit logs: retained for 2 years
  • Application logs: retained for 90 days
  • Analytics events: retained for 12 months
  • Payment and tax records: retained for 7 years or longer if required by law
  • IP addresses in audit logs: anonymized after 90 days

We may retain information longer if needed to:

  • comply with legal obligations
  • resolve disputes
  • enforce agreements
  • prevent fraud or abuse
  • maintain security
  • support business continuity

9. Account deletion

You may request account deletion through the Service or by contacting us at the email below.

When an account is deleted, we generally remove data from active systems within 30 days. Some information may remain for a limited time in backups, logs, or records required for legal, tax, fraud-prevention, security, or dispute purposes. In some cases, we may also have administrative tools that allow us to purge a user more quickly across active tables.

10. Security

We use administrative, technical, and organizational safeguards designed to protect personal information, including access controls, encryption, monitoring, and key management practices.

Please note that the Service is not zero-knowledge. Authorized personnel with appropriate permissions may be able to access certain data for support, operations, legal compliance, or security purposes.

11. California privacy notice

If you are a California resident, you may have rights under the California Consumer Privacy Act, as amended by the California Privacy Rights Act, including rights to know, access, correct, delete, and limit certain uses of your personal information, subject to applicable law.

We do not sell personal information. We also do not share personal information for cross-context behavioral advertising.

If you are a California resident and want to exercise any privacy rights available to you, contact us at the email listed below. We may need to verify your identity before responding to your request.

12. Additional U.S. state privacy rights

Residents of certain U.S. states may have additional privacy rights under applicable law, including rights to access, correct, delete, or opt out of certain processing.

If you believe a state privacy law applies to you, or if you would like to make a request, contact us using the information below. We will review and respond as required by applicable law.

13. Verification and response timing

We may need to verify your identity before responding to a privacy request. We will respond within the timeframe required by applicable law.

If we cannot fulfill a request in full, we will explain the reason, subject to applicable law and any legal exceptions.

14. Children

The Service is intended for adults age 18 and older. We do not knowingly collect personal information from children under 18.

15. Digital assets and recordkeeping

The Service currently supports evidence-grade recordkeeping and organization of information, documents, and instructions related to digital assets and online accounts. We do not currently offer full digital asset designation functionality under RUFADAA or similar laws.
