Before the legal language, here is what you need to know:

You control who gets access and when — always.
We only execute what you configure. No overrides.
We do not verify or second-guess your instructions.
We do not sell your data or share it for advertising.
We are not your attorney, financial advisor, or fiduciary.
Trusted contacts only receive access based on your setup.
You are responsible for keeping your information accurate.
You can cancel and delete your account at any time.

Your Responsibility in Setup

Constellation executes your plan exactly as you configure it. This means the accuracy and completeness of your setup directly affects how well it works for your family. We strongly recommend:

  • Verifying that trusted contact information is correct and current
  • Reviewing your activation protocol and permissions periodically
  • Keeping your account inventory and documents up to date
  • Testing your plan by previewing the executor experience

1. Agreement

By accessing or using Constellation, you agree to these Terms of Service. If you do not agree, please do not use the platform. These terms constitute a binding agreement between you and Brick Advisory Group LLC.

2. Description of Service

What Constellation Provides

  • Digital account inventory and organization
  • Encrypted document and credential vault
  • Trusted contact management with identity verification
  • Configurable activation protocols and emergency access workflows
  • Executor command center and guided task checklists
  • Readiness scoring and mission-step planning
  • Optional financial account discovery (via Plaid)
  • Optional identity exposure and dark web monitoring

What Constellation Does Not Provide

Constellation is a technology platform, not a professional services firm.

  • We do not provide legal advice or legal representation
  • We do not provide financial or investment advice
  • We do not act as a fiduciary
  • We are not a substitute for a legally binding will, trust, or power of attorney
  • We do not make decisions on your behalf

Constellation acts based only on your configured instructions.

3. Account Responsibilities

You agree to:

  • Provide accurate and current information
  • Keep your login credentials confidential
  • Keep your trusted contacts and emergency settings up to date
  • Use the platform only for lawful purposes
  • Not attempt to bypass, compromise, or reverse-engineer security controls

You are solely responsible for all activity under your account. If you believe your account has been compromised, contact us immediately.

4. Emergency & Executor Access

This is the most important section. Please read it carefully.

You Are in Control

You define every aspect of your activation protocol:

  • Who can initiate activation
  • How many confirmations are required
  • How long the waiting period lasts
  • Whether supporting documents (e.g., death certificate) are required
  • What level of access each person receives
  • Whether you can veto during the grace period

You remain in full control of your data and access rules.

Our Role

Constellation executes workflows based solely on your configuration. We do not:

  • Override or modify your instructions
  • Make judgment calls about whether activation should proceed
  • Validate the correctness of your setup
  • Verify recipient identities beyond the methods you configure
  • Guarantee that access reaches the intended individual

We do not make decisions on your behalf.

Delivery Reliability

We work to ensure reliable delivery of access, messages, and notifications. However, delivery may be affected by factors outside our control:

  • Incorrect or outdated contact information
  • Email spam filters or SMS delivery failures
  • System outages or maintenance windows
  • Third-party service interruptions

We strongly recommend reviewing your contacts and settings periodically to reduce these risks.

5. Subscription & Billing

  • Plans are available monthly or annually, billed in advance
  • Annual plans include discounted pricing
  • You may cancel at any time — access continues until the end of your billing period
  • No refunds for partial billing periods unless required by applicable law
  • Payments are processed securely through Stripe — we never see or store your card number

6. SMS Terms

  • By providing your phone number, you consent to receive transactional SMS messages
  • Message frequency varies based on your account activity
  • Standard message and data rates may apply
  • You may opt out at any time by replying STOP

We do not send marketing or promotional SMS messages.

7. Financial Integrations

If you connect third-party financial services (e.g., via Plaid):

  • You authorize retrieval of limited account metadata only (names, types, institutions)
  • We do not access, control, or move any funds
  • Data accuracy depends on the third-party provider
  • We are not responsible for outages, inaccuracies, or delays from third-party services

8. User Content & Responsibility

You retain full ownership of all content you upload to Constellation.

You agree not to upload content that:

  • Is illegal or unlawful
  • Infringes on intellectual property rights
  • Violates privacy or confidentiality obligations
  • Contains malicious software or harmful material

You are solely responsible for all content stored and shared through the platform.

9. Intellectual Property

All platform software, branding, design, and intellectual property are owned exclusively by Brick Advisory Group LLC. You may not copy, modify, distribute, or reverse engineer any portion of the platform without written permission.

10. Data Storage, Retention & Loss

  • Your data is stored using enterprise-grade cloud infrastructure
  • We do not guarantee indefinite data retention
  • Data may be deleted upon account termination, subject to backup retention periods
  • We are not liable for data loss due to system failures, third-party outages, user actions, or force majeure events

11. Security Limitations

We implement industry-standard security measures including encryption, access controls, and monitoring. However, no system is completely immune to all threats.

You acknowledge that:

  • Despite our best efforts, unauthorized access attempts may occur
  • Security breaches, while unlikely, are possible
  • We cannot guarantee absolute protection of all data at all times

12. Access by Trusted Contacts

You are responsible for selecting your trusted contacts and configuring their access levels.

We are not liable for:

  • Misuse of access by recipients after content is delivered
  • Disputes among family members, executors, or other contacts
  • Unauthorized redistribution of accessed materials by recipients
  • Consequences of incorrect or outdated contact information

13. Limitation of Liability

Service Provided “As Is”

Constellation is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Damages

To the maximum extent permitted by law, we are not liable for:

  • Lost data or failed deliveries
  • Executor disputes or family conflicts
  • Misuse of content by recipients
  • Indirect, incidental, or consequential damages
  • Financial or business losses arising from use of the platform

Maximum Liability

Our total aggregate liability is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Brick Advisory Group LLC and its officers, directors, employees, and affiliates from any claims, damages, or expenses arising from:

  • Your misuse of the platform
  • Violation of these terms
  • Improper configuration of access rules or contact information
  • Unlawful, unauthorized, or infringing content you upload

15. Termination

By Us

We may suspend or terminate your account for:

  • Misuse of the platform
  • Fraud or illegal activity
  • Non-payment
  • Violation of these terms

By You

You may close your account at any time through your account settings or by contacting support.

16. Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in New Jersey.
